1. Introduction

Welcome to Decomplexed®. By registering or using our platform, you agree to these Terms of Service. Our goal is to make expert advice clear, fair, and outcome-driven. These terms apply to both SMEs and advisers engaging through the platform.

2. Acceptance of Terms

  • Your agreement begins when you register or use the platform.
  • You must provide accurate information during registration and engagement.
  • We may update these terms from time to time, and we will notify you of any significant changes.

3. Use of Platform

  • SMEs: Submit challenges using the PERM® framework and pay the £250 commitment fee to initiate matching.
  • Advisers: Register, bid transparently, and engage in good faith. Advisers pay the £250 commitment fee when initiating an engagement following a match.
  • All users must comply with applicable laws and act with integrity when using the platform.

4. Expert Matching & Engagement

  • Matching is based on strategic fit, not pay-to-play or sponsored placements.
  • Adviser engagement terms are agreed directly between SMEs and advisers.
  • Decomplexed® facilitates clarity and trust but does not guarantee specific outcomes.
  • Feedback loops are required to maintain transparency and improve future matches.

5. Fees & Payment

  • SMEs: £250 commitment fee to confirm the PERM® call and proceed to matching. No success fee is charged to SMEs.
  • Advisers: £250 commitment fee to confirm engagement, plus a 5% success fee on the adviser’s fees, less the £250 commitment fee already paid.
  • Invoices and timing: Invoices are issued and payable within the stated period.
  • Transparency: No hidden charges or pay-to-play placements.

6. Privacy & Data

  • Your data is handled in line with our Privacy Policy.
  • SME challenges and adviser proposals remain confidential.
  • We do not sell or misuse user data.

7. Intellectual Property

  • The PERM® framework and all platform content are proprietary to Decomplexed®.
  • Users may not copy, reproduce, or misuse materials.
  • Case studies are anonymized unless explicit consent is provided.

8. Limitation of Liability

  • Decomplexed® provides a clarity framework and matching service, not direct consultancy.
  • We are not liable for adviser performance, outcomes, or third-party risks.
  • Our liability is limited to fees paid to Decomplexed®.

9. Governing Law

  • These terms are governed by UK law.
  • Any disputes will be subject to the jurisdiction of the English courts.
